BYLAW Revision Announcement
In April 2025, a change to the Clan MacFarlane Worldwide (CMW) Bylaws, regarding election
protocol, was proposed to the membership by the CMW Board of Directors.
Ballots were sent out to members who were eligible for Survey Monkey electronic voting (see
note below*). Members were also advised, via mass emailing, website notices and
Facebook posts, that they could request a manual ballot for voting if they did not receive a
Survey Monkey ballot. In total, 99 members voted: 92 ‘yes’ and 7 ‘no’. As such, the
changes were accepted/approved.
Specifically, the following section has been added to our bylaws:
Section 11.3. UNCONTESTED ELECTION
An uncontested election is an election in which the number of nominated candidates
(re: section 11.1) is the same as or fewer than the number of places available for
election (re: section 4.2).
An election outlined in section 11.2 is not required if the following occurs:
(a) As of May 12, the conditions of an uncontested election are met and
(b) An election (defined in section 11.2) is also deemed unnecessary by a majority vote
of the current board of directors and
(c) a UNANIMOUS vote of the current board of directors approves all nominated
candidates (re: section 11.1) for a position on the board of directors and
(d) The eligible voting membership is advised of the uncontested election, and the
uncontested election results, prior to August 11.
